This Notice of Dissolution to Creditors and Claimants against Limited Liability Company is issued pursuant to Ohio Revised Code.

Summary of Facts

On January 25, 2022, Argus Logistics LLC announced the evacuation of its non-essential personnel in Ukraine. We continued to operate in Ukraine with limited, essential-only staffing. We were also closely monitoring the situation between Russia and Ukraine to assess whether or not conditions were safe for our remaining personnel in the country.

On February 12, 2022, the U.S. Department of State ordered the departure of most American employees from the U.S. Embassy in Kyiv due to the continued threat of Russian military action. U.S. citizens were advised not to travel to Ukraine, and those in Ukraine were ordered to depart immediately. Similar actions were taken by other embassies and foreign missions in Ukraine.

On February 20, 2022, after detailed review of all publicly available information, including warnings that the U.S. government will not be able to evacuate U.S. citizens in the event of Russian invasion and that large-scale, deadly military actions and civil unrest may commence at any time and without any warning, we decided to suspend indefinitely all our operations in Ukraine. In the meantime, we continued to conduct business with Ukraine via our local subcontractor.

On February 28, 2022, Mr. Gennadiy Chyzhykov, President of the Ukrainian Chamber of Commerce and Industry, issued a formal decree, declaring that the military aggression of the Russian Federation against Ukraine, which led to the imposition of martial law, has demonstrated force majeure circumstances for entities doing business in or with Ukraine.

Subsequently, on June 2, 2022, we received an official notice from our main subcontractor in Ukraine, invoking force majeure circumstances and, thereby, terminating their business relationship with Argus Logistics LLC effective immediately.

All our reasonable efforts to reanimate our operations by onshoring our business back to the United States were hindered by high inflation, rising cost of capital, supply chain problems, record low unemployment and deteriorating regulatory environment.

Claim Instructions

Please note that Argus Logistics LLC will dissolve on June 20, 2023. We ask that entities and persons with claims against the dissolved limited liability company present them in writing within 90 days from the date of dissolution. If not sooner barred, your claims against Argus Logistics LLC will be barred unless received by the deadline of September 20, 2023.

Please also keep in mind that this notice does not constitute acknowledgment by Argus Logistics LLC that any entity or person is a proper, legitimate claimant against the company. Furthermore, this notice shall not be interpreted as a waiver of any defense or counterclaim.

Following its formal dissolution, Argus Logistics LLC will continue to exist for the purpose of taking care of certain final matters that, collectively, are known as winding up the company. The Ohio LLC Act states that winding up may involve “every other act necessary to wind up and liquidate the business and affairs of the company.”

Clarification: Please note that Argus Logistics LLC and Argus Freight LLC are two distinct legal entities. Argus Freight LLC continues its normal operating, investment and financing activities, including paying interest on its liabilities. This notice doesn’t have any effect on Argus Freight LLC’s business, legal status, or relationships with its creditors.
